Terms of Service

These Terms govern access to My Taxi Base, the dispatch and online booking platform operated by SYNTEX APPS ("we", "us"). By using the Platform you agree to these Terms.

1. Who may use the Platform

The Platform is a business-to-business service for licensed or authorised taxi and private-hire operators ("Tenants"). You must be at least 18 years old and have authority to bind your organisation. Consumer use of the dispatch dashboard is not permitted except as an employee or contractor of a Tenant.

2. What we provide

Subject to your plan and configuration, the Platform may include:

  • Dispatch dashboard (jobs, drivers, routes, messaging, reporting)
  • Per-tenant online booking pages (WebApp) where end customers can register and book rides
  • MTB-branded driver app; white-label capabilities with Enterprise; branded passenger and driver apps arranged separately where agreed
  • Optional card payments via Stripe Connect (funds to your connected Stripe account)
  • Prepaid platform balance top-ups and plan fees (paid to SYNTEX APPS via Stripe)
  • Optional Telegram for personal assistants / ops messaging where enabled (not required for driver dispatch)
  • Customer record lists and CSV export of your web-app customers

We are a software provider. We do not provide transport services, employ your drivers, or act as a taxi operator. You remain responsible for licences, insurance, passenger safety, and compliance with transport and local laws.

3. Accounts and security

You must keep login credentials confidential and ensure only authorised staff access your tenant. You are responsible for actions taken under your accounts. We may require two-factor authentication or password policies for security. You must notify us promptly of suspected unauthorised access.

4. Platform balance, plans, and fees

Platform access is provided on freemium and prepaid balance terms shown at sign-up or in your billing area. Starter may be free within published limits. Growth and Enterprise plan fees, and other platform usage charges, are deducted from your prepaid platform balance. You top up that balance via Stripe (including optional auto top-up) unless otherwise agreed. A low or empty balance may soft-lock paid features or suspend access. Taxes are your responsibility where applicable. Plan limits (e.g. drivers, features) apply as described in product documentation.

5. Stripe Connect and ride payments

If you enable online card payments, you must complete Stripe Connect onboarding and maintain an active connected account. Card payments for rides are processed by Stripe on your connected account; we facilitate checkout and status in the Platform but do not receive ride fares as merchant of record. You are responsible for Stripe's terms, fees, refunds, chargebacks, and regulatory requirements relating to accepting card payments.

6. End customers and your booking page

When you use online booking, end customers may create accounts and submit bookings on your branded page. You are the data controller for that relationship. You must:

  • Provide clear identity and contact details on your booking experience
  • Give end customers appropriate privacy information (what you collect, why, and their rights)
  • Only use their data lawfully (including UK GDPR and PECR for electronic marketing)
  • Honour bookings, cancellations, and refunds according to your policies and the law

Creating an account to book with your company establishes a direct customer relationship with you. We do not provide a separate marketing opt-in system; we store account and booking data so you can operate the service.

7. Customer exports

Admins may download a CSV of end customers who registered on your booking page (including email, contact details, and trip statistics). Exports are for your business records and lawful use. We do not send promotional email on your behalf. You must not use exports in breach of data protection law (including sending unsolicited marketing email without a valid legal basis). You indemnify us against claims arising from your misuse of exported data.

8. Your data responsibilities

You warrant that data you and your users enter (drivers, passengers, bookings, messages, documents) is accurate and lawful, and that you have given all required notices and obtained all required permissions. You must not upload unlawful, offensive, or infringing content.

9. Acceptable use

You must not:

  • Attempt unauthorised access, probe, or disrupt the Platform
  • Use the service for unlawful transport or fraudulent activity
  • Scrape, resell, or reverse engineer the service except as permitted by law
  • Circumvent plan limits, tenant isolation, or security controls
  • Use exports or messaging to harass, spam, or violate third-party rights

10. Availability and changes

We aim for reliable uptime but do not guarantee uninterrupted service. Maintenance, third-party outages (including Stripe, Telegram, hosting), and force majeure may affect availability. We may modify features, APIs, or pricing with reasonable notice where practicable.

11. Suspension and termination

We may suspend or terminate access for non-payment, security risk, legal requirement, or material breach of these Terms. You may stop using the service at any time; outstanding fees and legal obligations survive termination.

12. Intellectual property

The Platform, software, documentation, and SYNTEX APPS branding are our property or our licensors'. We grant you a limited, non-exclusive, revocable licence to use the Platform for your internal business operations during your paid or freemium access. You retain rights in your own branding and data you submit.

13. Privacy and data processing

Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf as processor, you agree to our data processing terms (including instructions limited to providing the Platform, confidentiality, security measures, and assistance with data subject requests). You must not instruct us to process data unlawfully.

14. Disclaimers

Except where prohibited by law, the Platform is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet every operational requirement or that third-party integrations (Stripe, Telegram, maps) will always be available.

15. Limitation of liability

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law. Subject to that, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total aggregate liability arising from the service in any twelve-month period is limited to the fees you paid us for the Platform in that period (or £100 if greater where required for mandatory consumer protections that apply despite B2B framing).

16. Indemnity

You will defend and indemnify SYNTEX APPS against claims, fines, losses, and reasonable costs arising from your transport operations, your data, your end-customer relationships, your use of exports or messaging, payment disputes on your Stripe account, or your breach of law or these Terms.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales. Courts in England shall have exclusive jurisdiction, except where mandatory consumer protections in your country give you non-waivable rights to bring proceedings elsewhere.

18. Changes

We may update these Terms. The effective date will change when we do. Material changes may require renewed acceptance in the product. Continued use after the effective date constitutes acceptance where permitted by law.
